End User License Agreement

This End User License Agreement (the "Agreement") is a legal agreement between you (an individual or a single business, "you") and Kalide LLC ("Kalide", "we", "us"). It covers Collage and any other Kalide software product that refers to it, including the plug-in and standalone versions, installers, presets, impulse responses, amp models, artwork, manuals and any updates (together, the "Software").

The Software is licensed, not sold. By installing, copying or using the Software, or by selecting "Accept" in an installer, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License grant

When you buy a license, Kalide grants you a personal, non-exclusive, non-transferable license to install and use the Software on up to 3 computers that you own or control, for your own music, audio and media work, whether commercial or non-commercial. A license may only be used by one person at a time. Additional activations require additional licenses.

2. What you make is yours

You own the audio you create with the Software. You may use, sell and distribute recordings, performances, soundtracks and other works made with it, without paying Kalide any royalty and without crediting Kalide.

The factory presets, impulse responses, amp models and other content included with the Software may be used inside your own works in this way. You may not redistribute, sell or share that content on its own or as part of a competing product, for example as a preset, impulse-response, sample or model library.

3. Demo version

Kalide may offer a free demo of the Software, which may be limited in time or features. The demo is provided for evaluation only, under the same terms as this Agreement, and without any warranty.

4. Activation, license checks and updates

The Software is activated with a license key. Activation and occasional license checks connect to Kalide's licensing service, and the Software may check online for updates. See our www.kalidemusic.com/privacy for what information this involves. Kalide may provide updates, fixes or new versions, but is not obliged to. Updates are covered by this Agreement unless they come with their own terms.

Except as expressly allowed by this Agreement or by applicable law, you may not:

You may not transfer your license to another person without Kalide's prior written consent. If Kalide approves a transfer, you must remove the Software from all of your computers, and the new owner must agree to this Agreement.

7. Ownership

Kalide and its licensors own all rights, title and interest in the Software, including all copyrights, trademarks and other intellectual property. "Kalide" and "Collage" are trademarks of Kalide LLC. Kalide reserves all rights not expressly granted to you in this Agreement.

8. Third-party software

The Software includes components licensed from third parties under their own terms (for example, open-source licenses). Those terms apply to those components and are reproduced in the Software's documentation www.kalidemusic.com/thirdpartynotices Nothing in this Agreement limits your rights under those licenses.

9. Termination

This Agreement lasts until it is terminated. It ends automatically if you break any of its terms. When it ends, you must stop using the Software and delete all copies. Sections 2 (as to works you have already made), 7, 10, 11, 13 and 15 survive termination.

10. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, KALIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. KALIDE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, WORK WITH EVERY HOST, OPERATING SYSTEM OR HARDWARE, OR RUN WITHOUT ERRORS OR INTERRUPTION. YOU ARE RESPONSIBLE FOR BACKING UP YOUR PROJECTS AND DATA.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KALIDE, ITS MEMBERS, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, RECORDINGS, PROFITS, REVENUE OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KALIDE'S TOTAL LIABILITY FOR ANY CLAIM UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

Some jurisdictions do not allow certain warranties or liabilities to be excluded or limited. In those jurisdictions, the exclusions and limits above apply only to the extent the law allows, and you may have additional rights.

12. Refunds

Refunds are handled under our Refund Policy. A customer may request a refund up to 7 days after purchase. A refunded license is deactivated and this Agreement ends for that license.

13. Governing law

This Agreement is governed by the laws of the State of CALIFORNIA, United States, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Los Angeles, California, and you and Kalide consent to their jurisdiction, except where the law of your country of residence gives you the right to bring proceedings elsewhere.

14. Changes to this Agreement

Kalide may update this Agreement from time to time. The version in effect when you install or update the Software applies to that version. The current version is always available at https://kalidemusic.com/eula.

15. General

This Agreement is the entire agreement between you and Kalide about the Software and replaces any earlier agreement on the subject. If any part of it is found unenforceable, the rest remains in effect, and the unenforceable part will be applied as far as the law allows. Kalide's failure to enforce any part of this Agreement is not a waiver of it. You may not assign this Agreement without Kalide's written consent.
